Documents Required for a Business Loan in India: Complete Checklist
Every business loan needs KYC for the business and owners, financial statements and tax returns, GST returns and bank statements, plus loan-specific papers such as property or project documents. Most delays come from mismatches between these sets, so reconcile turnover across GST, bank credits and financials before you apply.
Why do documents decide the speed of your loan?
Lenders use documents to verify three things: who you are, whether your business earns what you say, and whether the security or project is sound. When the documents agree with each other, credit teams move fast. When turnover in the GST returns differs from the financials, or the bank statements show a different picture, the file goes back with queries. Each round adds days or weeks.
What are the core documents for every business loan?
1. KYC
| Entity type | Documents |
|---|---|
| Proprietorship | Owner's PAN and Aadhaar or other officially valid document, proof of business such as GST registration or Udyam registration |
| Partnership or LLP | PAN of the firm, partnership deed or LLP agreement, registration certificate, KYC of partners |
| Private or public limited company | PAN, certificate of incorporation, MoA and AoA, board resolution for borrowing, KYC of directors and beneficial owners |
KYC follows RBI's Master Direction on Know Your Customer, and lenders may ask for additional documents under their own policy.
2. Financials
- Audited financial statements for the last two to three years, with notes and the audit report.
- Provisional financials for the current year.
- Income tax returns with computation of income for the same years.
- For larger limits, projections and a CMA data format.
3. GST and banking
- GST registration certificate.
- GST returns, usually for the last 12 months.
- Bank statements for all operating accounts, usually for the last 12 months.
- Sanction letters and statements for existing loans.
4. Other
- Udyam registration certificate, if you are an MSME. Registration is free on the government's Udyam portal.
- Business profile: products, customers, suppliers and key management.
- Credit reports are pulled by the lender with your consent.
What extra documents does each loan type need?
| Loan type | Additional documents |
|---|---|
| Working capital | Stock statements, receivables and payables ageing, past drawing power statements |
| Invoice discounting | Invoices, purchase orders, delivery proof, buyer details and payment history |
| Vendor bill discounting | Work orders, approved bills, ledger with the developer |
| Loan against property | Title chain, approved plan, occupancy or completion certificate, encumbrance certificate, property tax receipts |
| Construction finance | Land title, sanctioned plans, RERA registration, project cost and cash flow, sales status, architect's cost certificates |
| Inventory funding | Unsold inventory list, price list, RERA registration, sales and collection data |
| Capex finance | Quotations, project report, approvals for the asset |
| Project finance | Detailed project report, financial model, approvals, EPC and offtake or lease contracts, equity commitment |
What are the most common gaps?
- Turnover mismatch. GST turnover, bank credits and the profit and loss account do not reconcile. Prepare a one-page reconciliation explaining differences such as exports, exempt sales or timing.
- Unexplained bank entries. Large cash deposits or inter-company transfers without explanation.
- Out-of-date financials. Audited accounts more than a year old, with no provisional figures.
- Property title gaps. A missing link in the chain of title, or no occupancy certificate.
- Missing approvals. For construction and project loans, approvals not yet in hand.
- Unrecorded existing debt. Loans in the credit report that are not in your list of existing borrowings.
Worked example: a clean file
Illustrative. A trading company applies for a ₹1.5 crore cash credit limit.
| Item | Status |
|---|---|
| KYC for company and both directors | Complete |
| Audited financials FY24 and FY25, provisional for current year | Complete |
| GST turnover for last 12 months | ₹7.6 crore |
| Bank credits for last 12 months | ₹8.1 crore |
| Reconciliation note | Explains ₹50 lakh of non-sales credits: a director's loan and a refund |
| Stock and debtors ageing | Prepared from the books |
| Existing loans | One vehicle loan, statement attached |
Because turnover reconciles and the explanation is ready, the credit team can move straight to assessment. See how banks calculate your working capital limit.
What will you receive from the lender?
Under RBI's KFS rules, regulated lenders must give a Key Facts Statement for retail and MSME term loans before you sign. It sets out the annual percentage rate, the repayment schedule and all fees. Read it and compare it with other offers. Also check the sanction letter for covenants, security and conditions before disbursement.
What changes for a first-time borrower?
A business that has never borrowed has no repayment track record. Lenders lean more on banking history, GST filings and promoter credit history. Expect requests for more months of bank statements, a business plan, and sometimes collateral or a guarantee. A loan against property or a secured limit is often the easiest first facility to get.
How should you organise the file?
- One folder per set: KYC, financials, GST and banking, loan-specific.
- Name files clearly, for example "FY25 audited financials.pdf".
- Use searchable PDFs, not phone photos.
- Put the reconciliation note and a one-page business summary at the top.
What do lenders check beyond the documents?
Documents prove facts. Lenders also form a view on:
- Credit history: repayment record of the business and promoters, pulled from credit information companies with your consent.
- Banking conduct: cheque returns, overdrawn days, limit utilisation and the pattern of credits.
- Promoter background: experience, other businesses and any litigation.
- Site visit: for working capital and secured loans, an inspection of the premises, stock or property.
- Industry risk: the lender's view of your sector and its own exposure to it.
A short note covering these points, especially explaining any past delay, saves time.
How long are documents valid?
Lenders usually want recent documents. Bank statements should run to the latest month, stock statements should be current, and the encumbrance certificate and title search for property should be recent. Older documents often have to be refreshed before sanction, so check dates before you submit.
